1. INTRODUCTION
These Terms and Conditions ("Terms") are a legally binding agreement between Red Sales Distribution Pvt. Ltd. ("Red Sales," "we," "our," or "us") and any user ("you," "your," "Retailer," or "Customer") who accesses, downloads, or uses the Red Sales mobile application ("App"). By registering, accessing, or purchasing from the App, you confirm that you have read, understood, and agree to be bound by these Terms, the Privacy Policy, and the Returns & Refund Policy. If you do not agree, do not use the App or purchase products from us.
2. COMPANY OVERVIEW
Red Sales Distribution Pvt. Ltd. is a private limited company incorporated under the Companies Act, 2013. Red Sales procures authentic products directly from partnered and authorized brands, distributes and sells to verified salons, retailers, and professionals, and manages warehousing, logistics, and delivery within operational regions. Red Sales is not a marketplace — all sales are made directly by Red Sales to verified business buyers.
3. ELIGIBILITY
- You must be a registered business entity or professional operating under Indian law (retailer, wholesaler, distributor, salon, or similar).
- Individuals under 18 years are not permitted to register or transact.
- By registering you confirm that information (GSTIN, PAN, business details) is accurate, current, and valid.
- We reserve the right to verify information or suspend access for incomplete, inaccurate, or suspicious accounts.
4. ACCOUNT REGISTRATION
To use the App, create an account with valid business and contact information. You are responsible for your login credentials and all activity under your account. Promptly notify Red Sales of unauthorized access. Red Sales may suspend or terminate accounts for misuse, fraud, or violation of these Terms.
5. PRODUCTS AND PRICING
Products displayed on the App are authentic and sourced from authorized brand partners. Prices are exclusive of GST unless stated. Taxes and delivery charges are added at checkout. Prices, discounts, and offers may change without notice. Red Sales may modify, restrict, or discontinue products due to stock, region, or compliance requirements.
6. ORDERING AND PAYMENT
- Orders placed through the App constitute an offer to purchase, subject to acceptance by Red Sales.
- Payments via UPI, Net Banking, Credit/Debit Cards, or Cash on Delivery where available.
- Red Sales does not provide credit or deferred payment terms — orders are processed only after full payment confirmation.
- Once dispatched, orders cannot be cancelled.
- Red Sales reserves the right to refuse or cancel orders at its discretion (pricing errors, limited stock, suspicious activity).
7. DELIVERY & SHIPPING
Red Sales arranges delivery via its logistics network and partners. Shipping charges are shown at checkout. Delivery timelines vary by location, stock availability, and unforeseeable delays. Ownership and risk transfer upon delivery at your registered business address. For delivery issues (delay, damage, non-receipt), contact info@redsales.in within 48 hours of delivery.
8. RETURNS, REPLACEMENTS & REFUNDS
Return, replacement, and refund requests are governed by the Red Sales Returns & Refund Policy:
- Returns within 7 days: Accepted only for damaged, broken, leaking, or seal-tampered products. Replacements provided; refunds only if replacement unavailable.
- Returns after 7 days: Handled per respective brand policy for defect, expiry, or recall; final approval rests with the brand/manufacturer.
- Refunds: If approved, refunded to your Red Sales Wallet or original payment method within 5–7 working days post-quality verification.
9. PRODUCT EXPIRY & BRAND WARRANTIES
Products include manufacturer-defined expiry dates and warranty terms. Red Sales is not responsible for performance deterioration due to buyer storage or handling. Post-sale defects or expiry are handled under the brand's warranty policy; Red Sales coordinates where applicable but bears no independent liability once products are sold in verified condition.
10. PROHIBITED USES
You agree not to resell or distribute Red Sales products to unauthorized parties, provide false business information, tamper with packaging or branding, interfere with App functionality, or use automated tools (bots, crawlers). Violation may result in account suspension, order cancellation, or legal action.
11. INTELLECTUAL PROPERTY
All logos, product images, text, and trademarks on the App are the exclusive property of Red Sales or its partners. You may not reproduce, distribute, or modify content without written consent. Unauthorized use constitutes infringement under the Copyright Act, 1957, and other applicable laws.
12. LIMITATION OF LIABILITY
Red Sales does not guarantee continuous App availability. Except as required by law, Red Sales shall not be liable for indirect, incidental, or consequential losses (including loss of profits or data). The maximum liability for any claim shall not exceed ₹1,000 (Rupees One Thousand only) or the value of the disputed transaction, whichever is lower.
13. INDEMNITY
You agree to indemnify and hold Red Sales, its directors, employees, and representatives harmless from any loss, claim, or damage arising due to breach of these Terms, misuse of products or the App, or violation of third-party rights.
14. FORCE MAJEURE
Red Sales is not liable for delay or failure due to events beyond control, including natural disasters, strikes, pandemics, governmental action, or network failures.
15. TERMINATION OF ACCOUNT
Red Sales may suspend or terminate accounts without prior notice for false information, fraudulent activity, payment reversals, or violation of these Terms. Upon termination, pending orders may be cancelled and refunds processed per company policy.
16. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of India. All disputes fall under the exclusive jurisdiction of the courts of Mumbai, Maharashtra.
